Updated October 2026 · Fitzgerald Advisors · Sources: Discover and Carlyle press releases (July 17, 2024) and Capital One Form 8-K (January 24, 2025).
Private student loan portfolios are sold like other loan pools: the lender sells the loans to a buyer such as an investment fund, and servicing can move too. Discover Bank agreed on July 17, 2024 to sell its portfolio to funds managed by Carlyle and KKR.
Scope: this page covers private student loans held by banks and other lenders. Federal student loans follow U.S. Department of Education rules and are outside this page. Student loans are not among the asset classes on Fitzgerald Advisors' service pages, so this is general information only.
What happened in the Discover student loan portfolio sale?
Discover Bank signed a purchase agreement on July 17, 2024 to sell its private student loan portfolio to Santiago Holdings, LP, an affiliate of Carlyle and KKR. The sale closed in several stages, the last on November 16, 2024 (Capital One Form 8-K, filed January 24, 2025).
- Buyer: strategic partnerships of funds and accounts managed by the credit businesses of Carlyle and KKR (Carlyle press release, July 17, 2024).
- Servicing: Firstmark Services, a division of Nelnet, took over servicing when the loans were sold.
- Portfolio manager: Monogram LLC, a Carlyle portfolio company, was named to manage the portfolio.
- Price basis: the cash price reflected the principal balance plus a premium, plus accrued and unpaid interest at each closing (Capital One Form 8-K).
- Stated reason: Discover called the deal "an important milestone in our journey to simplify our operations and business mix" (Dan Capozzi, Discover, quoted in the Carlyle release).
- Seller's advisor: Wells Fargo was Discover's exclusive financial advisor.
Why do lenders sell student loan portfolios?
Lenders sell student loan portfolios when the business no longer fits their strategy, or to free capital and funding for other lending. Discover's stated reason was a simpler business mix.
Investment funds focused on asset-based finance buy these pools for long-dated consumer cash flows with a known payment record. In the Discover sale, the buyers were credit funds, a separate company managed the portfolio, and a third company serviced the loans.
How is a private student loan portfolio sold?
The steps match any loan portfolio sale, set out in the loan portfolio sales guide. Buyers look hardest at a few student-loan fields on the data tape.
- Repayment stage: in school, grace, deferment, forbearance or full repayment, because each stage pays differently.
- Cosigner: whether a cosigner is on the loan or has been released.
- Payment and modification history: delinquencies, forbearance use and any rate or term changes.
- Origination data: school, program, credit at origination and loan terms.
- Servicing plan: who services after closing and how borrowers are told.
- Data protection: borrower files shared in diligence need safeguards; the FTC Safeguards Rule sets requirements for covered financial institutions.
What changes for borrowers when a student loan is sold?
A sale changes who owns the loan and can change who services it. The buyer takes the loans as they are, so the signed promissory note still sets the rate and terms.
In the Discover sale, servicing moved to Firstmark Services. When servicing moves, check any notice you receive for the new servicer's name and payment instructions. For the other types of buyers, see loan portfolio buyers.
